A managing director is the person, who leads the business in enterprise or another association (for instance a larger association or also a parliament parliamentary group).

In the special the organ of the limited company is called managing director. The managing director represents the society judicially and out of court. Opposite third (thus in the external relationship) its right of representation is unrestricted (if necessary together with a further managing director, the sole agency power is a special case). It has to follow however in the interior relationship the decisions of the company meeting. The managing director is ordered and recalled by the company meeting of the GmbH. The obligation of the society to pay it for its services a content follows from the managing director contract locked between the society and the managing director.
